Who can invest in the GD1 SPV?
Investment in the fund is open to wholesale investors (and eligible investors). In New Zealand, venture capital investment is restricted to ‘Wholesale Investors’ and eligible investors, as defined by the Financial Markets Conduct Act 2013. Product disclosures are not required to be issued to wholesale investors, as a result investors may not receive a complete and balanced set of information.

Defining a Wholesale/Eligible Investor (as per the Financial Markets Conduct Act 2013).
- Investment Business: as defined in clause 37 of Schedule 1 of the FMCA
- Investment Activity: Entities or individuals who meet historical investment volume thresholds
- Large Entities: Entities with net assets or turnover exceeding $5 million NZD for the last two completed financial years
- Eligible Investors: Individuals who provide a written certification to confirm they have sufficient experience in acquiring or disposing of financial products to assess the opportunities and risk of the investment
